By purchasing, selling, processing, accepting, facilitating, receiving, or otherwise participating in transactions through Trepy, you agree to this Chargeback Policy.

By Agreeing to this Agreement, you are agreeing to all of the forgoing policies and terms.


1. TREPY’S ROLE

Trepy provides technology infrastructure and payment-related operational tools that may assist with:

  • ticket purchases;
  • livestream purchases;
  • subscription transactions;
  • digital transactions;
  • event transactions;
  • recurring billing;
  • audience payments;
  • seller payments;
  • organizer settlements.

Trepy is generally not:

  • the merchant of record unless expressly stated otherwise;
  • the issuer of payment cards;
  • the operator of financial institutions;
  • the guarantor of transactions;
  • responsible for organizer conduct;
  • responsible for seller conduct.

Payment processing depends on third-party providers and financial institutions.

2. PAYMENT PROCESSING PROVIDERS

Trepy may rely on third-party providers including:

  • Stripe;
  • banking institutions;
  • card networks;
  • payment gateways;
  • fraud-prevention providers.

Relevant provider policies may include:

  • Stripe Services Agreement
  • Stripe Privacy Policy

Trepy does not control:

  • bank decisions;
  • card issuer decisions;
  • processor determinations;
  • network rules;
  • dispute outcomes.

Trepy is not responsible for interruptions caused by third-party financial systems.

3. WHAT IS A CHARGEBACK

A chargeback generally occurs when a payment card holder disputes a transaction through a financial institution or card issuer.

Chargebacks may arise from claims including:

  • unauthorized transactions;
  • fraud;
  • dissatisfaction disputes;
  • billing disputes;
  • subscription disputes;
  • duplicate charges;
  • event disputes;
  • non-delivery claims;
  • service complaints.

Chargebacks may result in:

  • transaction reversals;
  • fees;
  • payout holds;
  • account restrictions;
  • reserve requirements;
  • additional verification reviews.

4. ORGANIZER AND SELLER RESPONSIBILITY

Organizers, Sellers, Treps, and commercial users are independently responsible for:

  • customer communications;
  • lawful billing practices;
  • accurate disclosures;
  • refund handling;
  • subscription disclosures;
  • fulfillment obligations;
  • customer support;
  • recurring billing compliance.

Trepy may facilitate operational payment workflows but is not responsible for independent business conduct or customer disputes.

5. DISPUTE PREVENTION EXPECTATIONS

Trepy encourages Organizers and Sellers to reduce disputes through:

  • clear event descriptions;
  • accurate pricing;
  • transparent refund policies;
  • responsive customer support;
  • lawful subscription disclosures;
  • proper communications practices;
  • accurate livestream descriptions;
  • timely event updates.

Trepy reserves the right to evaluate operational risk associated with excessive disputes or chargebacks.

6. FRAUD PREVENTION

Trepy may use operational systems intended to help detect:

  • payment fraud;
  • identity fraud;
  • suspicious transactions;
  • account compromise;
  • bot activity;
  • abusive purchasing behavior;
  • transaction manipulation.

Trepy reserves the right to:

  • delay transactions;
  • freeze payouts;
  • reverse transactions;
  • require verification;
  • suspend monetization;
  • investigate suspicious activity.

Trepy may cooperate with:

  • payment processors;
  • fraud-prevention providers;
  • financial institutions;
  • law enforcement where reasonably necessary.

7. RESERVES, HOLDS, AND DELAYED PAYOUTS

Trepy reserves the right to:

  • hold settlements;
  • establish reserve balances;
  • delay payouts;
  • freeze funds;
  • offset liabilities;
  • recover losses;
  • reverse settlements.

Trepy may take such actions where reasonably necessary relating to:

  • fraud risks;
  • excessive disputes;
  • chargeback activity;
  • refund exposure;
  • suspicious conduct;
  • regulatory concerns;
  • legal obligations;
  • operational integrity.

Trepy may maintain reserves for periods reasonably necessary to address ongoing risk exposure.

8. CHARGEBACK LIABILITY

Organizers, Sellers, Treps, and commercial users remain solely responsible for losses arising from:

  • chargebacks;
  • fraud disputes;
  • customer disputes;
  • refund disputes;
  • unauthorized transaction claims;
  • subscription disputes;
  • billing disputes.

Trepy may recover amounts relating to:

  • chargeback losses;
  • processor fees;
  • investigation costs;
  • operational losses;
  • fraud-related losses.

Trepy reserves the right to deduct such amounts from:

  • payouts;
  • reserves;
  • settlement balances;
  • future transactions.

9. SUBSCRIPTIONS AND RECURRING BILLING DISPUTES

Sellers and Organizers using recurring billing functionality are solely responsible for complying with applicable laws relating to:

  • subscriptions;
  • recurring billing;
  • negative-option marketing;
  • cancellation disclosures;
  • auto-renewal requirements.

Trepy may restrict recurring billing functionality where:

  • excessive disputes occur;
  • regulatory concerns arise;
  • operational risks increase.

Trepy is not responsible for subscription disputes between users and independent Sellers or Organizers.

10. EVENT-RELATED PAYMENT DISPUTES

Event-related disputes may involve claims relating to:

  • cancellations;
  • postponements;
  • denied entry;
  • seating disputes;
  • livestream interruptions;
  • performer changes;
  • venue changes;
  • event quality disputes.

Organizers remain independently responsible for event operations and refund obligations where applicable.

Trepy may facilitate operational processing of authorized refunds but does not guarantee refund outcomes.

11. LIVESTREAM PAYMENT DISPUTES

Livestream disputes may involve claims relating to:

  • buffering;
  • interruptions;
  • replay restrictions;
  • device compatibility;
  • internet connectivity;
  • regional restrictions;
  • quality concerns.

Trepy does not guarantee uninterrupted livestream access or uninterrupted replay availability.

Temporary interruptions or technical limitations do not automatically qualify for refunds unless required by law.

12. ACCOUNT REVIEWS AND RESTRICTIONS

Trepy may investigate accounts associated with:

  • excessive chargebacks;
  • suspicious transactions;
  • refund abuse;
  • fraudulent activity;
  • policy violations;
  • abnormal dispute activity.

Trepy reserves the right to:

  • suspend accounts;
  • restrict monetization;
  • freeze payouts;
  • terminate subscriptions;
  • disable payment functionality;
  • terminate platform access.

Trepy may act without prior notice where reasonably necessary.

13. COLLECTION RIGHTS

Where permitted by law, Trepy reserves the right to recover unpaid liabilities relating to:

  • chargebacks;
  • processor fees;
  • fraud losses;
  • reversed transactions;
  • reserve deficiencies;
  • unpaid balances.

Trepy may use reasonable collection methods including:

  • offsets;
  • reserve deductions;
  • payment recovery processes;
  • third-party collections where appropriate.

14. THIRD-PARTY INVESTIGATIONS

Trepy may provide transaction-related information to:

  • payment processors;
  • financial institutions;
  • fraud-prevention providers;
  • law enforcement;
  • regulators;
  • legal authorities where reasonably necessary.

Trepy may preserve records relating to:

  • disputes;
  • fraud investigations;
  • transaction reviews;
  • security investigations.

15. NO GUARANTEE OF DISPUTE OUTCOMES

Trepy does not guarantee:

  • successful dispute resolution;
  • favorable chargeback outcomes;
  • reversal of disputed charges;
  • prevention of fraudulent activity;
  • uninterrupted payment processing.

Chargeback determinations may depend on:

  • card network rules;
  • processor policies;
  • banking decisions;
  • financial institution reviews;
  • applicable laws.

16. FORCE MAJEURE

Trepy shall not be liable for interruptions caused by events beyond reasonable control, including:

  • banking outages;
  • processor failures;
  • cyberattacks;
  • internet outages;
  • governmental actions;
  • fraud-prevention disruptions;
  • cloud infrastructure failures;
  • third-party provider outages.

Trepy does not guarantee uninterrupted payment functionality.

17. DISCLAIMERS

THE PAYMENT-RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

Trepy does not guarantee:

  • uninterrupted payment processing;
  • uninterrupted payouts;
  • uninterrupted settlement functionality;
  • prevention of chargebacks;
  • prevention of fraud;
  • successful dispute outcomes;
  • uninterrupted banking connectivity.

Trepy is not responsible for:

  • organizer conduct;
  • seller conduct;
  • customer disputes;
  • banking decisions;
  • processor decisions;
  • card issuer determinations;
  • third-party outages.

Users assume risks associated with transactions conducted through the platform.

18. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREPY SHALL NOT BE LIABLE FOR:

  • chargeback losses;
  • fraud losses;
  • transaction reversals;
  • processor interruptions;
  • banking outages;
  • lost profits;
  • reputational harm;
  • indirect damages;
  • incidental damages;
  • consequential damages;
  • punitive damages.

Trepy’s aggregate liability relating to payment disputes shall not exceed the greater of:

  • amounts paid directly to Trepy during the twelve (12) months preceding the claim; or
  • one hundred U.S. dollars ($100).

Certain jurisdictions may not allow some limitations.

19. INDEMNIFICATION

Organizers, Sellers, Treps, and commercial users agree to defend, indemnify, and hold harmless Trepy and its affiliates, officers, directors, employees, contractors, agents, and partners from claims, liabilities, damages, losses, costs, and expenses arising from:

  • chargebacks;
  • fraud disputes;
  • customer disputes;
  • recurring billing disputes;
  • refund disputes;
  • transaction reversals;
  • payment-related claims;
  • unlawful billing practices;
  • violations of law;
  • violations of this Chargeback Policy.

20. GOVERNING LAW

This Chargeback Policy shall be governed by the laws of the State of Georgia without regard to conflict-of-law principles.

The Federal Arbitration Act governs interpretation and enforcement of arbitration provisions.

21. BINDING ARBITRATION

Except where prohibited by law, disputes arising out of or relating to payments, chargebacks, subscriptions, transactions, settlements, or related platform use shall be resolved exclusively through final and binding individual arbitration.

The arbitration agreement is governed by the Federal Arbitration Act.

Either party may seek temporary injunctive relief where reasonably necessary.

22. CLASS ACTION WAIVER

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • claims may only be brought individually;
  • class actions are waived;
  • representative proceedings are waived;
  • collective proceedings are waived;
  • consolidated proceedings are waived.

The arbitrator may not consolidate claims or preside over representative proceedings.

23. MODIFICATIONS TO THIS POLICY

Trepy may update this Chargeback Policy from time to time.

Updated versions may be posted through the platform.

Continued use of Trepy after updates may constitute acceptance of revised terms.
