This Organizer Agreement (“Organizer Agreement”) governs the use of Trepy’s platform, ticketing systems, livestream systems, communications systems, event management tools, payment integrations, and related services by event organizers, venues, hosts, promoters, presenters, performers, instructors, organizations, Treps, sub-admins, and similar commercial or operational users (“Organizers”).
This Organizer Agreement supplements the:

- Trepy Privacy Policy
- Trepy Refund & Ticketing Policy
- Trepy Creator / Trep Agreement
- Trepy Acceptable Use Policy
- Trepy Community Standards & Content Policy
- Trepy SMS / Messaging Terms
- Trepy DMCA & Intellectual Property Policy
By creating, publishing, promoting, managing, ticketing, livestreaming, operating, monetizing, or conducting events through Trepy, you agree to this Organizer Agreement.
NOTE: THIS AGREEMENT CONTAINS ARBITRATION, INDEMNIFICATION, AND CLASS ACTION WAIVER CLAUSES

By Agreeing to this Agreement, you are agreeing to all of the forgoing policies and terms.
1. TREPY’S ROLE
Trepy provides technology infrastructure and operational tools that may assist Organizers with:
- event publishing;
- audience engagement;
- ticketing;
- seating management;
- livestream access;
- event communications;
- check-in workflows;
- payment processing integrations;
- reporting tools;
- notifications;
- organizational management.
Except where expressly stated otherwise, Trepy is solely a technology platform provider.
Trepy is generally not:
- the organizer of events;
- the operator of venues;
- the employer of performers or staff;
- the producer of performances;
- the provider of event security;
- the provider of transportation;
- the provider of insurance;
- the provider of legal compliance services;
- the operator of livestream productions.
Organizers remain solely responsible for their events, operations, venues, personnel, communications, and compliance obligations.
2. ORGANIZER RESPONSIBILITIES
Organizers are solely responsible for:
- event operations;
- venue operations;
- attendee safety;
- staffing;
- crowd management;
- security;
- accessibility accommodations;
- permits and licenses;
- tax obligations;
- customer service;
- event communications;
- refund decisions where applicable;
- livestream operations;
- performer agreements;
- legal compliance.
Organizers represent and warrant that they possess all rights, permissions, licenses, and authority necessary to conduct their events and activities.
Trepy does not supervise Organizer conduct or event operations.
3. EVENT ACCURACY
Organizers are solely responsible for ensuring that event-related information is accurate, lawful, and not misleading.
This includes:
- event dates;
- event times;
- venue information;
- ticket pricing;
- seating information;
- performer information;
- livestream access information;
- accessibility information;
- refund policies;
- age restrictions;
- event descriptions.
Trepy is not responsible for inaccurate or misleading Organizer-provided information.
4. VENUES AND PHYSICAL EVENTS
Organizers are solely responsible for:
- venue selection;
- venue safety;
- venue accessibility;
- emergency planning;
- attendee accommodations;
- local compliance obligations;
- occupancy compliance;
- alcohol compliance;
- security staffing.
Trepy does not control venue conditions or physical event operations.
Trepy is not responsible for:
- injuries;
- theft;
- crowd incidents;
- venue defects;
- security failures;
- parking issues;
- accessibility limitations;
- weather-related disruptions;
- attendee disputes.
Attendees participate in events at their own risk.
5. LIVESTREAM EVENTS
Trepy may support livestream or virtual event functionality.
Organizers are solely responsible for:
- livestream production;
- broadcast permissions;
- livestream moderation;
- internet connectivity;
- participant permissions;
- content moderation;
- music licensing;
- recording permissions;
- performance rights.
Trepy does not guarantee:
- uninterrupted streaming;
- playback quality;
- audience capacity;
- compatibility across devices;
- uninterrupted internet connectivity;
- uninterrupted third-party infrastructure.
Trepy may terminate or restrict livestream functionality where reasonably necessary.
6. TICKETING AND ACCESS
Trepy may facilitate:
- digital ticketing;
- QR code access;
- assigned seating;
- section-based pricing;
- ticket storage;
- mobile ticket access;
- event check-in systems.
Organizers are solely responsible for:
- admission policies;
- ticket validation procedures;
- event capacity management;
- attendee verification;
- seating assignments;
- venue admission decisions.
Trepy is not responsible for:
- denied entry disputes;
- counterfeit tickets outside Trepy systems;
- attendee conduct;
- venue staffing failures;
- organizer admission decisions.
7. REFUNDS, CANCELLATIONS, AND EVENT CHANGES
Organizers are independently responsible for:
- cancellation decisions;
- postponement decisions;
- refund practices;
- attendee communications;
- event modifications;
- event rescheduling.
Trepy may facilitate operational processing of refunds where authorized.
Trepy does not guarantee that:
- refunds will be issued;
- fees will be refundable;
- attendees will recover incidental expenses.
Trepy is not responsible for:
- travel losses;
- lodging losses;
- lost wages;
- incidental expenses;
- consequential losses arising from event changes or cancellations.
8. PAYMENTS, SETTLEMENTS, AND RESERVES
Trepy may integrate with payment processors including Stripe and related financial infrastructure.
Organizers acknowledge and agree that:
- payment processing depends on third-party providers;
- payout timing may vary;
- reserves may be required;
- settlements may be delayed;
- transactions may be reviewed for fraud or compliance concerns.
Trepy reserves the right to:
- delay payouts;
- freeze settlements;
- require reserve balances;
- reverse transactions;
- investigate suspicious activity;
- request verification documentation.
Trepy is not responsible for:
- banking outages;
- processor interruptions;
- chargebacks;
- card issuer decisions;
- financial institution actions.
9. TAXES AND REGULATORY COMPLIANCE
Organizers are solely responsible for:
- tax obligations;
- business registrations;
- permits;
- employment compliance;
- labor compliance;
- venue compliance;
- consumer protection compliance;
- accessibility compliance;
- event-related regulatory obligations.
Trepy does not provide:
- legal advice;
- tax advice;
- accounting advice;
- regulatory advice.
Trepy may provide reporting functionality for operational convenience only.
10. COMMUNICATIONS COMPLIANCE
Trepy may provide:
- in-app notifications;
- email systems;
- SMS systems;
- audience engagement tools.
Organizers are solely responsible for:
- obtaining lawful consent;
- complying with TCPA requirements;
- complying with anti-spam laws;
- complying with carrier requirements;
- honoring unsubscribe requests;
- ensuring lawful marketing practices.
Trepy reserves the right to:
- monitor communications activity;
- restrict campaigns;
- suspend messaging privileges;
- terminate communications access.
Trepy does not guarantee delivery of communications.
11. ACCESSIBILITY RESPONSIBILITIES
Organizers are independently responsible for:
- venue accessibility;
- attendee accommodations;
- event accessibility;
- accessibility communications;
- accommodation-related compliance.
Trepy provides technology infrastructure only.
Trepy is not responsible for:
- venue accessibility failures;
- accommodation disputes;
- inaccessible third-party venues;
- inaccessible livestreams;
- organizer accommodation decisions.
12. CONTENT AND INTELLECTUAL PROPERTY
Organizers are solely responsible for ensuring they possess rights necessary to:
- upload content;
- livestream content;
- use music;
- use trademarks;
- distribute promotional materials;
- broadcast performances.
Organizers must obtain all necessary:
- music licenses;
- performance rights;
- synchronization rights;
- publicity permissions;
- broadcast permissions;
- venue permissions.
Trepy may remove content or suspend accounts associated with infringement claims.
13. ORGANIZER INSURANCE
Trepy may recommend or require certain Organizers to maintain insurance coverage depending on:
- event size;
- venue type;
- event risk profile;
- livestream activity;
- applicable laws.
Trepy does not provide insurance coverage for Organizers unless expressly stated otherwise.
Organizers remain solely responsible for evaluating and maintaining appropriate insurance coverage.
14. PROHIBITED EVENTS AND ACTIVITIES
Organizers may not use Trepy for:
- unlawful events;
- fraudulent events;
- exploitative schemes;
- prohibited gambling;
- unlawful fundraising;
- prohibited adult services;
- violent extremism;
- unlawful financial schemes;
- prohibited products or services;
- activities violating third-party provider rules.
Trepy reserves the right to:
- remove events;
- restrict ticketing;
- freeze settlements;
- suspend accounts;
- terminate Organizer access.
15. THIRD-PARTY PROVIDERS
Trepy relies on third-party providers and infrastructure.
These may include:
- Stripe;
- Twilio;
- Mux;
- cloud infrastructure providers;
- payment providers;
- communication providers.
Organizers must comply with applicable provider policies.
Relevant provider policies may include:
- Stripe Restricted Businesses List
- Twilio Acceptable Use Policy
- Mux Terms of Service
Trepy is not responsible for:
- provider outages;
- payment failures;
- livestream interruptions;
- carrier filtering;
- third-party enforcement decisions.
16. VERIFICATION AND COMPLIANCE REVIEWS
Trepy may require:
- identity verification;
- business verification;
- banking verification;
- tax verification;
- event verification;
- compliance reviews;
- fraud reviews.
Trepy reserves the right to:
- request documentation;
- suspend payouts;
- restrict ticketing;
- remove events;
- terminate accounts.
Failure to provide requested information may result in restrictions or termination.
17. PLATFORM REPUTATION AND PUBLIC REPRESENTATIONS
Organizers may not falsely represent:
- partnership with Trepy;
- endorsement by Trepy;
- sponsorship by Trepy;
- authorization beyond granted permissions.
Trepy reserves the right to remove misleading statements or branding.
18. ACCOUNT SECURITY
Organizers are responsible for:
- maintaining account security;
- protecting credentials;
- monitoring sub-admin activity;
- restricting unauthorized access.
Trepy is not responsible for losses caused by:
- compromised accounts;
- shared credentials;
- Organizer negligence;
- unauthorized internal access.
19. FORCE MAJEURE
Trepy shall not be liable for interruptions caused by events beyond reasonable control, including:
- severe weather;
- natural disasters;
- pandemics;
- internet outages;
- infrastructure failures;
- governmental actions;
- labor disputes;
- cyberattacks;
- provider outages.
Trepy does not guarantee uninterrupted platform availability.
20. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
Trepy does not guarantee:
- ticket sales;
- event attendance;
- livestream reliability;
- uninterrupted service;
- audience growth;
- event success;
- uninterrupted payment processing;
- uninterrupted communications functionality.
Trepy is not responsible for:
- Organizer conduct;
- venue operations;
- performer conduct;
- attendee disputes;
- customer dissatisfaction;
- independent business operations;
- event outcomes;
- third-party outages.
Organizers assume risks associated with operating events and businesses through the platform.
21. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREPY SHALL NOT BE LIABLE FOR:
- event disputes;
- attendee injuries;
- venue incidents;
- livestream interruptions;
- ticketing disputes;
- chargebacks;
- refund disputes;
- communications failures;
- lost profits;
- reputational harm;
- indirect damages;
- incidental damages;
- consequential damages;
- punitive damages.
Trepy’s aggregate liability relating to Organizer activities shall not exceed the greater of:
- amounts paid directly to Trepy during the twelve (12) months preceding the claim; or
- one hundred U.S. dollars ($100).
Certain jurisdictions may not allow some limitations.
22. INDEMNIFICATION
Organizers agree to defend, indemnify, and hold harmless Trepy and its affiliates, officers, directors, employees, contractors, agents, and partners from claims, liabilities, damages, losses, costs, and expenses arising from:
- events;
- venues;
- livestreams;
- communications;
- ticketing activities;
- customer disputes;
- attendee injuries;
- intellectual property claims;
- refund disputes;
- regulatory actions;
- tax disputes;
- employment disputes;
- Organizer negligence;
- violations of law;
- violations of this Organizer Agreement.
This includes claims involving:
- crowd incidents;
- accessibility disputes;
- performer disputes;
- consumer protection claims;
- communications claims;
- venue disputes;
- contractual disputes.
23. GOVERNING LAW
This Organizer Agreement shall be governed by the laws of the State of Georgia without regard to conflict-of-law principles.
The Federal Arbitration Act governs interpretation and enforcement of arbitration provisions.
24. BINDING ARBITRATION
Except where prohibited by law, disputes arising out of or relating to this Organizer Agreement, events, livestreams, ticketing, communications, payments, or platform use shall be resolved exclusively through final and binding individual arbitration.
The arbitration agreement is governed by the Federal Arbitration Act.
Either party may seek temporary injunctive relief where reasonably necessary.
25. CLASS ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- claims may only be brought individually;
- class actions are waived;
- representative proceedings are waived;
- consolidated proceedings are waived;
- collective proceedings are waived.
The arbitrator may not consolidate claims or preside over representative proceedings.
26. MODIFICATIONS TO THIS AGREEMENT
Trepy may update this Organizer Agreement from time to time.
Updated versions may be posted through the platform.
Continued use of Trepy after updates may constitute acceptance of revised terms.
27. ENTIRE AGREEMENT
This Organizer Agreement, together with Trepy’s other applicable agreements and policies, constitutes the entire agreement relating to Organizer use of the Services.
