This Platform Seller Agreement (“Seller Agreement”) governs the use of Trepy’s platform, payment systems, commerce functionality, subscription systems, communications systems, organizational tools, ticketing systems, livestream systems, and related services by individuals or organizations selling, offering, distributing, licensing, promoting, or monetizing products, services, subscriptions, memberships, digital goods, experiences, content, or related offerings through Trepy (“Sellers”).
This Seller Agreement supplements the:

- Trepy Organizer Agreement
- Trepy Refund & Ticketing Policy
- Trepy Terms for Paid Livestream Access
- Trepy Acceptable Use Policy

- Trepy DMCA & Intellectual Property Policy
By offering, promoting, selling, licensing, monetizing, distributing, or otherwise conducting commercial activity through Trepy, you agree to this Seller Agreement.

By Agreeing to this Agreement, you are agreeing to all of the forgoing policies and terms.
1. TREPY’S ROLE
Trepy provides technology infrastructure that may assist Sellers with:
- audience engagement;
- communications;
- subscriptions;
- recurring billing;
- digital content distribution;
- event monetization;
- livestream monetization;
- membership management;
- checkout workflows;
- payment integrations;
- reporting systems;
- organizational management;
- audience notifications.
Except where expressly stated otherwise, Trepy is solely a technology platform provider.
Trepy is generally not:
- the seller of products or services;
- the merchant of record unless expressly stated;
- the provider of Seller offerings;
- the operator of Seller businesses;
- the guarantor of Seller conduct;
- the fulfillment provider;
- the employer or partner of Sellers.
Sellers remain solely responsible for their businesses, products, services, subscriptions, customers, communications, and legal compliance.
2. SELLER RESPONSIBILITIES
Sellers are solely responsible for:
- products;
- services;
- memberships;
- subscriptions;
- digital content;
- livestream offerings;
- customer support;
- pricing;
- taxes;
- legal compliance;
- disclosures;
- advertising;
- fulfillment obligations;
- refund obligations where applicable;
- communications;
- customer relationships.
Sellers represent and warrant that they possess all rights, authority, licenses, permits, and permissions necessary to operate their businesses and offerings.
Trepy does not supervise Seller business operations.
3. PRODUCTS, SERVICES, AND DIGITAL OFFERINGS
Trepy may support commercial offerings including:
- memberships;
- subscriptions;
- educational services;
- coaching;
- consulting;
- livestream access;
- event access;
- downloadable materials;
- digital media;
- digital experiences;
- merchandise;
- audience communities;
- premium content.
Sellers are solely responsible for:
- the accuracy of listings;
- lawful marketing;
- customer expectations;
- product quality;
- service quality;
- fulfillment;
- legal compliance.
Trepy is not responsible for disputes relating to Seller offerings.
4. SUBSCRIPTIONS AND RECURRING BILLING
Trepy may support recurring billing or subscription functionality.
Sellers are solely responsible for:
- subscription disclosures;
- billing terms;
- cancellation policies;
- recurring billing compliance;
- customer communications;
- refund policies;
- auto-renewal disclosures.
Sellers must comply with applicable laws relating to:
- subscriptions;
- recurring billing;
- negative-option marketing;
- consumer disclosures.
Trepy does not guarantee uninterrupted recurring billing functionality.
5. PAYMENTS, SETTLEMENTS, AND RESERVES
Trepy may integrate with third-party payment providers including Stripe and related financial infrastructure.
Trepy may facilitate:
- payment collection;
- payout workflows;
- transaction processing;
- settlement reporting;
- subscription billing;
- chargeback handling.
Sellers acknowledge and agree that:
- payment processing depends on third-party providers;
- payouts may be delayed;
- reserves may be required;
- settlements may be frozen or reversed;
- fraud reviews may occur;
- chargebacks may affect payouts.
Trepy reserves the right to:
- hold funds;
- delay payouts;
- require reserves;
- reverse transactions;
- investigate suspicious activity;
- request verification information.
Trepy is not responsible for:
- processor outages;
- banking interruptions;
- card network restrictions;
- chargeback determinations;
- financial institution actions.
6. TAX RESPONSIBILITIES
Sellers are solely responsible for:
- taxes;
- registrations;
- reporting obligations;
- accounting obligations;
- sales taxes;
- VAT obligations;
- business licenses;
- payroll obligations;
- consumer protection compliance.
Trepy does not provide:
- tax advice;
- accounting advice;
- legal advice;
- regulatory advice.
Trepy may provide operational reporting tools for convenience only.
7. REFUNDS, CUSTOMER SERVICE, AND DISPUTES
Sellers are independently responsible for:
- customer service;
- support obligations;
- fulfillment disputes;
- refunds where applicable;
- cancellation handling;
- product disputes;
- service disputes;
- subscription disputes.
Trepy may facilitate operational processing of approved refunds where authorized.
Trepy is not responsible for:
- product quality;
- service quality;
- fulfillment failures;
- customer dissatisfaction;
- subscription disputes;
- independent Seller decisions.
8. COMMUNICATIONS COMPLIANCE
Trepy may provide:
- in-app notifications;
- email systems;
- SMS systems;
- customer communication tools;
- audience engagement systems.
Sellers are solely responsible for:
- obtaining lawful consent;
- complying with TCPA requirements;
- complying with anti-spam laws;
- complying with carrier rules;
- honoring opt-out requests;
- maintaining lawful communications practices.
Trepy reserves the right to:
- monitor communications activity;
- restrict campaigns;
- suspend messaging privileges;
- terminate communications functionality.
Trepy does not guarantee message delivery.
9. INTELLECTUAL PROPERTY RESPONSIBILITIES
Sellers are solely responsible for ensuring they possess all necessary rights relating to:
- uploaded content;
- branding;
- trademarks;
- music;
- videos;
- livestreams;
- educational materials;
- downloadable content;
- marketing materials;
- digital products.
Sellers must obtain all necessary:
- licenses;
- permissions;
- broadcast rights;
- publicity permissions;
- intellectual property clearances.
Trepy may remove content or restrict accounts associated with infringement claims.
10. PROHIBITED PRODUCTS AND SERVICES
Sellers may not use Trepy to sell or promote:
- unlawful products;
- prohibited gambling;
- exploitative financial schemes;
- prohibited adult services;
- counterfeit goods;
- prohibited substances;
- illegal weapons;
- deceptive investment schemes;
- fraudulent offerings;
- activities violating third-party provider rules.
Trepy reserves the right to:
- remove listings;
- suspend accounts;
- freeze settlements;
- terminate Seller access.
11. CUSTOMER DATA AND PRIVACY
Sellers are independently responsible for complying with applicable privacy and communications laws.
Sellers may not:
- unlawfully sell personal data;
- misuse customer information;
- violate privacy rights;
- conduct unlawful surveillance;
- engage in unauthorized data harvesting.
Trepy may provide operational customer data and reporting functionality necessary for platform operation.
Trepy retains authority over:
- platform infrastructure data;
- aggregated analytics;
- operational monitoring;
- fraud-prevention systems.
Trepy does not sell personal information to third-party data brokers.
12. SELLER VERIFICATION AND COMPLIANCE REVIEWS
Trepy may require:
- identity verification;
- business verification;
- banking verification;
- tax verification;
- compliance reviews;
- fraud reviews;
- risk assessments.
Trepy reserves the right to:
- request documentation;
- restrict monetization;
- freeze payouts;
- delay settlements;
- remove offerings;
- terminate accounts.
Failure to provide requested information may result in restrictions or termination.
13. PLATFORM REPUTATION AND PUBLIC REPRESENTATIONS
Sellers may not falsely represent:
- partnership with Trepy;
- endorsement by Trepy;
- sponsorship by Trepy;
- authorization beyond granted permissions.
Trepy reserves the right to remove misleading statements or branding.
14. THIRD-PARTY PROVIDERS
Trepy relies on third-party providers and infrastructure.
These may include:
- Stripe;
- Twilio;
- Mux;
- cloud infrastructure providers;
- hosting providers;
- analytics providers;
- communication providers.
Sellers must comply with applicable provider policies.
Relevant provider policies may include:
- Stripe Restricted Businesses List
- Twilio Acceptable Use Policy
- Mux Terms of Service
Trepy is not responsible for:
- provider outages;
- banking interruptions;
- payment processor restrictions;
- third-party enforcement decisions;
- carrier filtering;
- infrastructure limitations.
15. ACCOUNT SECURITY
Sellers are responsible for:
- protecting credentials;
- monitoring account activity;
- protecting customer information;
- maintaining internal access controls;
- monitoring sub-admin activity.
Trepy is not responsible for losses arising from:
- compromised accounts;
- unauthorized access;
- Seller negligence;
- internal misuse.
16. FORCE MAJEURE
Trepy shall not be liable for interruptions caused by events beyond reasonable control, including:
- internet outages;
- cyberattacks;
- cloud infrastructure failures;
- severe weather;
- labor disputes;
- governmental actions;
- pandemics;
- banking outages;
- third-party provider failures.
Trepy does not guarantee uninterrupted platform availability.
17. DISCLAIMERS
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
Trepy does not guarantee:
- business success;
- customer acquisition;
- uninterrupted subscriptions;
- uninterrupted payment processing;
- uninterrupted communications;
- customer satisfaction;
- uninterrupted livestreaming;
- uninterrupted platform availability.
Trepy is not responsible for:
- Seller conduct;
- customer disputes;
- fulfillment disputes;
- product quality;
- service quality;
- subscription disputes;
- independent business operations;
- third-party outages.
Sellers assume risks associated with operating businesses through the platform.
18. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TREPY SHALL NOT BE LIABLE FOR:
- customer disputes;
- subscription disputes;
- payment interruptions;
- fulfillment failures;
- product disputes;
- service disputes;
- livestream interruptions;
- reputational harm;
- lost profits;
- indirect damages;
- incidental damages;
- consequential damages;
- punitive damages.
Trepy’s aggregate liability relating to Seller activities shall not exceed the greater of:
- amounts paid directly to Trepy during the twelve (12) months preceding the claim; or
- one hundred U.S. dollars ($100).
Certain jurisdictions may not allow some limitations.
19. INDEMNIFICATION
Sellers agree to defend, indemnify, and hold harmless Trepy and its affiliates, officers, directors, employees, contractors, agents, and partners from claims, liabilities, damages, losses, costs, and expenses arising from:
- Seller products;
- Seller services;
- subscriptions;
- memberships;
- livestreams;
- customer disputes;
- communications;
- intellectual property claims;
- privacy violations;
- tax disputes;
- refund disputes;
- regulatory actions;
- Seller negligence;
- violations of law;
- violations of this Seller Agreement.
This includes claims involving:
- deceptive marketing;
- consumer protection violations;
- recurring billing disputes;
- TCPA claims;
- intellectual property disputes;
- accessibility disputes;
- regulatory investigations.
20. GOVERNING LAW
This Seller Agreement shall be governed by the laws of the State of Georgia without regard to conflict-of-law principles.
The Federal Arbitration Act governs interpretation and enforcement of arbitration provisions.
21. BINDING ARBITRATION
Except where prohibited by law, disputes arising out of or relating to this Seller Agreement, subscriptions, payments, livestreams, communications, products, services, or platform use shall be resolved exclusively through final and binding individual arbitration.
The arbitration agreement is governed by the Federal Arbitration Act and American Arbitration Association ("AAA").
Either party may seek temporary injunctive relief where reasonably necessary.
22. CLASS ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- claims may only be brought individually;
- class actions are waived;
- representative proceedings are waived;
- consolidated proceedings are waived;
- collective proceedings are waived.
The arbitrator may not consolidate claims or preside over representative proceedings.
23. MODIFICATIONS TO THIS AGREEMENT
Trepy may update this Seller Agreement from time to time.
Updated versions may be posted through the platform.
Continued use of Trepy after updates may constitute acceptance of revised terms.
24. ENTIRE AGREEMENT
This Seller Agreement, together with Trepy’s other applicable agreements and policies, constitutes the entire agreement relating to Seller activities through Trepy.
